By accessing our website or engaging dmex analytics for services, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use our services.
dmex analytics provides digital advertising management (Google Ads, Meta Ads), tracking and analytics implementation, and related consulting services. The specific scope, deliverables, fees, and timelines for each engagement are defined in a separate Service Agreement or Statement of Work signed by both parties. These Terms apply to all engagements unless expressly superseded in writing.
You agree to:
Management fees are as specified in the applicable Service Agreement. Invoices are issued monthly and due within 14 days of issue. Late payments accrue interest at 1.5% per month (or the maximum rate permitted by law, if lower). We reserve the right to pause services for accounts more than 30 days past due. All fees are exclusive of applicable taxes.
Advertising spend billed directly by Google, Meta, or other platforms is separate from our management fees and is your sole responsibility. We provide budget recommendations but hold no liability for platform charges. You maintain ownership of your advertising accounts at all times.
You retain ownership of all creative assets, data, and content you provide. We retain ownership of our proprietary methodologies, processes, templates, and tools. Work product created specifically and exclusively for you under a Service Agreement (such as custom ad copy and creatives) is assigned to you upon full payment.
Each party agrees to keep confidential the other party's non-public business information, trade secrets, and technical data ("Confidential Information"). This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination for three (3) years.
We apply industry best practices and data-driven methods to optimize campaign performance. However, we do not guarantee specific results, ROAS targets, revenue outcomes, or rankings. Digital advertising performance depends on factors outside our control including platform algorithms, market conditions, competition, and macroeconomic factors.
Engagements are month-to-month unless otherwise specified. Either party may terminate with 30 days' written notice. We may terminate immediately upon material breach or non-payment. Upon termination, you retain full ownership of your ad accounts and data. We will provide a transition handover document within 5 business days of the termination date.
To the maximum extent permitted by law, dmex analytics' total liability for any claim arising from or related to the services shall not exceed the total fees paid by you in the three (3) months preceding the claim. We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data loss.
You agree to indemnify, defend, and hold harmless dmex analytics and its officers, employees, and contractors from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your advertising content, or your violation of any applicable law.
These Terms are governed by the laws of the state of Delaware, USA, without regard to conflict of law principles. Any dispute shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration under the AAA Commercial Arbitration Rules in Delaware. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction.
We reserve the right to update these Terms at any time. Material changes will be notified via email at least 14 days before taking effect. Continued use of our services after the effective date constitutes acceptance. If you object to any change, your remedy is to terminate the engagement per Section 9.
These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior negotiations or agreements. If any provision is found unenforceable, the remaining provisions continue in full force.
